This research aims to identify and analyze the legal challenges arising from foreign investment in the stock market and provide solutions to overcome them. The research method in this article is descriptive-analytical and based on library resources and current laws of the country. The research findings show that the most important challenges include uncertainty in laws and regulations, inconsistency between domestic laws and international treaties, restrictions on the transfer of profits and capital, and weakness in the dispute resolution system (especially regarding the jurisdiction of domestic courts and arbitration). Also, considerations related to national sovereignty and economic security sometimes lead to the creation of non-transparent barriers for foreign investors. To address these challenges, this article proposes solutions such as reforming and clarifying foreign investment laws, establishing efficient international arbitration mechanisms, ensuring the free transfer of profits and capital, and aligning domestic laws with global standards. Implementing these solutions can attract the trust of foreign investors and contribute significantly to the stability and growth of the capital market. ورود سرمایه‌گذاران خارجی به بازار سرمایه داخلی، یکی از راهبردهای کلیدی برای تأمین مالی شرکت‌ها و توسعه اقتصادی محسوب می‌شود؛ اما این فرآیند همواره با چالش‌های حقوقی متعددی روبرو است. این پژوهش با هدف شناسایی و تحلیل چالش‌های حقوقی ناشی از سرمایه‌گذاری خارجی در بازار بورس و ارائه راهکارهای برون‌رفت از آن‌ها تدوین شده است. روش تحقیق در این مقاله، توصیفی-تحلیلی و با استناد به منابع کتابخانه‌ای و قوانین جاری کشور است. یافته‌های پژوهش نشان می‌دهد که مهم‌ترین چالش‌ها شامل عدم قطعیت در قوانین و مقررات، ناهماهنگی بین قوانین داخلی و معاهدات بین‌المللی، محدودیت‌های انتقال سود و سرمایه، و ضعف در نظام حل‌وفصل اختلافات (به‌ویژه در خصوص صلاحیت دادگاه‌های داخلی و داوری) است. همچنین، ملاحظات مربوط به حاکمیت ملی و امنیت اقتصادی، گاهی منجر به ایجاد موانع غیرشفاف برای سرمایه‌گذاران خارجی می‌شود. برای رفع این چالش‌ها، این مقاله راهکارهایی نظیر اصلاح و شفاف‌سازی قوانین سرمایه‌گذاری خارجی، ایجاد سازوکارهای کارآمد داوری بین‌المللی، تضمین انتقال آزادانه سود و سرمایه، و همسوسازی قوانین داخلی با استانداردهای جهانی را پیشنهاد می‌دهد. اجرای این راهکارها می‌تواند اعتماد سرمایه‌گذاران خارجی را جلب کرده و به پایداری و رشد بازار سرمایه کمک شایانی نماید.   /downloadfilepdf/1017547
