The real estate registration system was established to ensure legal security, stabilize ownership, reduce transaction-related disputes, and enable parties to rely on the recorded status of properties. A key consequence of official registration is the credibility it lends to information recorded in the property registry; this allows parties to transact based on the property's official status without having to investigate an endless chain of prior transactions. However, instances may arise where recorded information does not align with the legal reality or the actual state of the property—such as when a deed is issued based on a conflicting transaction, forgery, unauthorized transfer (*fuzuli*), abuse of power of attorney, or a registration error, and a third party acquires the property relying on that official deed. In such scenarios, a conflict emerges between "preserving ownership and prior rights" and "protecting the legitimate reliance of a third party." Under Iranian law, Article 22 of the Registration of Deeds and Properties Act plays a pivotal role in recognizing the official owner, while Articles 46 through 48 mandate the registration of certain transactions and documents and specify the consequences of non-registration. Nevertheless, traditional registration law in Iran lacked a coherent, general rule protecting good-faith third parties—unlike the frameworks found in certain foreign legal systems. Comparative studies indicate that in land registration systems, reliance on the registry and the protection of good-faith buyers are fundamental issues in property law; indeed, in some jurisdictions, the principle of public reliance on the registry creates conditions that favor the third party over the actual owner. A significant development in Iranian law has occurred with the enactment of the Law on the Mandatory Official Registration of Real Estate Transactions in 2024 (1403 SH). Article 1 of this law, while reinforcing the status of official registration, protects—under specified conditions—bona fide third parties holding an official deed against certain prior claims. This approach demonstrates that the Iranian legislator has moved toward striking a balance between the security of ownership, the reliability of registration, and the security of transactions. The present study employs a descriptive-analytical method, drawing upon library resources, statutes, regulations, legal treatises, specialized articles, and comparative studies. The findings indicate that the conflict between the validity of an official deed and the protection of a bona fide third party cannot be resolved merely by granting absolute priority to one side; rather, consideration must be given to criteria such as the status of the real estate registry, the third party's knowledge or lack thereof regarding conflicting claims, the nature of the transaction (specifically whether it is for value), the feasibility of becoming aware of the conflict, the conduct of the original owner, the manner in which the deed was created, and the extent of the third party's legitimate reliance. Furthermore, while the Law on the Mandatory Official Registration of Real Estate Transactions has created significant potential for enhancing the protection of bona fide third parties, the precise definition of "good faith" criteria and their legal consequences still requires coherent judicial interpretation and the further development of legal scholarship.
